Orbis Research Platform Terms and Conditions

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY. By accessing or using the Orbis platform (the "Platform"), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions (the "Terms") in their entirety. If you do not agree with any part of these Terms, do not use the Orbis Research Platform. These Terms constitute a binding agreement between you and Agentic Assets, LLC (a Wyoming limited liability company) ("Agentic Assets", "we", "us", or "our"), which owns and operates Orbis.
1. Scope of Agreement and Definitions
Scope
These Terms govern your access to and use of Orbis, including all features, content, and services provided through the Platform. By creating an account, subscribing, or otherwise using Orbis, you agree to comply with these Terms and all applicable laws. If you are using Orbis on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
Definitions
In these Terms:
- "Platform" or "Orbis" refers to the Orbis AI research platform, including its website, applications, AI models, database of academic literature, and all associated services.
- "User" or "you" refers to any individual or entity who accesses or uses the Platform.
- "Content" refers to any information, text, data, images, or other materials accessible on or through Orbis. This includes User Content (inputs, queries, prompts, or other data you provide to the Platform) and AI-Generated Content (outputs, answers, summaries, or reports produced by Orbis in response to user queries), as well as content sourced from third-party academic publications.
- "Subscription" refers to the paid plan or account through which the User accesses Orbis's services.
Acceptance
Use of the Platform is conditioned upon acceptance of these Terms. If you do not agree to these Terms, you are not authorized to use Orbis. By using Orbis, you also agree to our Privacy Policy (referenced in Section 7 below) and any other policies or guidelines that we may implement and make available to you.
2. Eligibility and Account Registration
Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) to use Orbis. The Platform is intended for use by academic researchers, institutional researchers, and other professionals for informational and research purposes, and is offered on a subscription basis. By using Orbis, you represent and warrant that you meet these eligibility requirements and that all information you submit during registration is truthful and accurate.
Account Creation
To access Orbis, you are required to create an account and purchase a subscription. During registration, you must provide accurate and complete information, including your name, institutional affiliation (if applicable), email address, and payment details. You agree to keep your registration information up-to-date. You may also be required to verify your email or other details as part of our security procedures.
Account Credentials
You are responsible for maintaining the confidentiality of your account login credentials (username and password). You are liable for all activities that occur under your account, whether or not authorized by you. If you become aware of any unauthorized use of your account or any breach of security, you must notify us immediately. We are not liable for any loss or damage arising from your failure to safeguard your credentials.
Authorized Use of Account
Each subscription account is meant for a single user (or a designated group of users under an institutional plan, if offered). You must not share your login credentials or account access with others outside your authorized group. If you are an institutional subscriber, ensure that only authorized personnel access Orbis under your account. We reserve the right to suspend or terminate accounts that we suspect are being shared in violation of this section.
Account Use and Compliance
If you register or use Orbis using an email or facilities provided by your employer or institution, it is your responsibility to ensure that such use complies with your organization's policies. By doing so, you represent that you are not violating any policies of your employer or institution in using Orbis.
3. Subscription Plans, Fees, and Payment
Subscription Requirement
Orbis is a subscription-based platform. Access to the Platform's services and content is available only to users with a current paid subscription (unless a free trial or demo is offered at our discretion). Users will be prompted to subscribe and agree to payment terms before gaining full use of the Platform.
Fees and Billing
By subscribing to Orbis, you agree to pay all applicable subscription fees, taxes, and charges as described at the time of purchase. Pricing and available plans (e.g., monthly or annual subscriptions, individual or institutional rates) are provided on the Platform. All fees are stated and must be paid in U.S. Dollars, unless otherwise specified. You are responsible for providing valid payment information and ensuring your payment method remains up-to-date for the duration of your subscription.
Auto-Renewal
Subscriptions will automatically renew at the end of each billing cycle (e.g. monthly or annually) unless you cancel your subscription before the renewal date. By default, we will charge your provided payment method at the start of each renewal term for the subscription fees and any applicable taxes. We will notify you of any changes in subscription price or terms prior to auto-renewal if required by law or these Terms.
Cancellation
You may cancel your subscription at any time by following the procedures on the Platform or by contacting our customer support. If you cancel, you will retain access to Orbis until the end of your current paid term, after which your access will be downgraded or terminated. No pro-rated refunds will be provided for early cancellation except at our sole discretion or where required by applicable law. It is your responsibility to cancel in time to avoid future charges.
Refunds
Our general policy is that fees are non-refundable once paid. However, we may consider refund requests on a case-by-case basis in our sole discretion (for example, if a technical issue originating with Orbis made the service unavailable for a significant time, or as required under certain jurisdictional consumer protection laws). Any approved refunds may be pro-rated or subject to other conditions. We reserve the right to deny refund requests that do not meet our criteria as outlined here.
Changes in Fees
We may modify our subscription fees and plans from time to time. Price changes will not affect your active subscription term but will apply upon renewal. We will provide notice of fee changes by email or by posting on the Platform reasonably in advance of the next billing cycle. If you do not agree to a fee change, you must cancel your subscription before the new fees take effect. Continued use of the Platform after the effective date of a fee change constitutes your agreement to the new fees.
Taxes
Subscription fees do not include any taxes (such as sales, use, value-added tax, etc.) that may apply. To the extent any such taxes are applicable, you are responsible for paying them. We reserve the right to collect those taxes from you at the time of purchase or later if we believe we have a duty to do so, and you agree to pay such taxes or provide evidence of exemption.
4. User Conduct and Acceptable Use
We are committed to maintaining the integrity and lawful use of the Orbis Platform. As a condition of your use, you agree to use Orbis only for lawful and appropriate purposes and in compliance with these Terms and all applicable laws and regulations. You are solely responsible for your conduct and any Content that you input into Orbis or obtain from Orbis. Specifically, you agree that you will not:
- Illegal Activities: Use the Platform for any unlawful, illegal, fraudulent, or malicious activities, or in any manner that violates any applicable federal, state, local, or international law or regulation.
- Intellectual Property Infringement: Upload, input, or request Orbis to retrieve or generate any content that infringes upon the copyright, patent, trademark, trade secret, or other intellectual property or proprietary rights of any party.
- Offensive or Harmful Conduct: Use Orbis to engage in, promote, or facilitate any content that is defamatory, obscene, pornographic, indecent, harassing, violent, hateful, or otherwise objectionable (including hate speech or discrimination against any group).
- Security Violations: Attempt to probe, scan, or test the vulnerability of the Platform or any associated system, or breach any security or authentication measures. You must not transmit any worms, viruses, malware, or any code of a destructive nature, nor attempt to circumvent the Platform's security measures.
- Data Mining or Scraping: Use any automated system (such as bots, spiders, or scrapers) to access the Platform or extract data for any commercial purposes without our prior written permission. (The normal use of Orbis's APIs, if provided and authorized under your subscription, is allowed in accordance with separate API terms.)
- Interference: Interfere with or disrupt the integrity or performance of the Platform or the data contained therein. This includes not performing any action that imposes an unreasonable or disproportionately large load on our infrastructure.
- Unauthorized Access: Share, lease, or sell access to the Platform, or otherwise attempt to access any portion of Orbis that you have not been authorized to use. You will not use another user's account or impersonate any person or entity, or misrepresent your affiliation with any person or entity.
- Improper Purpose: Use Orbis to generate content or take actions that could be used for predatory publishing, plagiarism, fraudulent misrepresentation of research, or any purpose that would violate academic integrity or professional ethical standards.
We reserve the right to monitor usage of the Platform to enforce these rules. Any violation of the above may result in immediate suspension or termination of your account, at our sole discretion, and possibly legal action. You understand that you are responsible for all Content and activity originating from your account and that we may hold you liable for any damages or legal obligations that result from your violations of these rules.
5. Content on Orbis and Intellectual Property Rights
This section addresses the ownership and usage rights of content on the Platform, including content we provide, content derived from third-party sources, and content you provide or that is generated through your use of Orbis.
Our Intellectual Property
Orbis (including all software, algorithms, AI models, the compilation of the research database, user interface, and design) and all content made available by us through the Platform (except for User Content and third-party content) are the exclusive property of Agentic Assets or its licensors. The Platform is protected by copyright, trade secret, trademark, patent, and other intellectual property laws. We reserve all rights not expressly granted to you in these Terms. You agree not to remove, alter, or obscure any copyright, trademark, or other proprietary rights notices on the Platform. Our company name, "Agentic Assets", and our product name "Orbis", and all associated logos and designs are our trademarks. You are not granted any right or license to use them except as necessary for using the Platform in compliance with these Terms.
Third-Party Content (Academic Publications)
Orbis leverages a large database of academic research articles (e.g., economics, finance, real estate journals) to provide evidence-based answers. All such academic papers and publications remain the intellectual property of their respective authors, publishers, or rights holders. Orbis may retrieve information from these sources and provide you with summaries, analyses, or excerpts under principles of fair use or applicable licenses. You acknowledge that:
- Your use of any third-party content obtained via Orbis is limited to your personal or internal research purposes as allowed by law. You should not reproduce or distribute substantial portions of such content outside the Platform without permission from the rights holder.
- We do not claim ownership of third-party publications, and the inclusion of any third-party content or reference in Orbis does not grant you any license or right to use that content except through Orbis as permitted by these Terms. If you require the full text or intend to use third-party content beyond brief excerpts or references, you are responsible for obtaining the necessary permissions from the copyright owner.
- Orbis may provide citations or references to third-party sources to assist you in locating the original materials. Those original materials may be subject to separate terms (for example, journal access fees or institutional subscriptions) which are outside the scope of Orbis. We are not responsible for the availability or accuracy of third-party content outside our Platform.
User Content
You retain ownership of any User Content that you input into Orbis (such as the questions you ask or any data you upload). However, by submitting any User Content, you grant Agentic Assets a worldwide, non-exclusive, royalty-free, sublicensable license to use, store, reproduce, distribute, and create derivative works of your User Content solely for the purposes of operating and improving the Platform and providing services to you. This license enables us, for example, to process your queries through our AI models, to display the results back to you, and to analyze usage patterns to improve Orbis's performance. We will not publicly display or publish your raw prompts or uploaded content to other users, nor will we sell your User Content to third parties.
Please note: You should only provide content that you have the right to use and submit. You represent that your User Content does not violate the rights of any third party and that you have obtained all necessary permissions or consents to use it on the Platform.
AI-Generated Content
Content generated by the Orbis AI in response to your queries (such as summaries, answers, analyses, or reports) is provided for your convenience and use under these Terms. While we make the Platform's outputs available for your use, we (and our licensors, where applicable) retain ownership of the underlying algorithms and AI-generated content as a compilation. We grant you a limited, non-exclusive, non-transferable license to use the AI-generated content for your internal research, educational, or analytical purposes. You may incorporate insights or excerpts from Orbis's responses into your own work (such as research reports or articles), provided that you attribute the source appropriately and comply with any academic or professional standards of citation.
However, you must not republish entire responses from Orbis as is, especially if they include substantial portions of third-party content, without permission. If you distribute any content derived from Orbis, you do so at your own risk and are responsible for ensuring it does not infringe third-party rights or violate any laws.
No Scraping or Model Training
Except as expressly permitted by us, you may not scrape, download in bulk, or otherwise harvest data from Orbis's knowledge base. Also, you may not use the outputs from Orbis to train or develop any competing language model or dataset. Any attempt to reverse-engineer the Platform (including the AI model or database) or to misuse the outputs outside the intended use is strictly prohibited.
Feedback
If you choose to provide feedback, suggestions, or ideas regarding Orbis (collectively, "Feedback"), you agree that we are free to use, modify, and incorporate such Feedback in our products and services without any obligation to you. Feedback is entirely voluntary and we have no obligation to keep it confidential. You will not be compensated for providing Feedback, and we may use it for any purpose.
6. Privacy and Data Protection
Your privacy is important to us. Our collection, use, and protection of your personal data and usage data are governed by our Privacy Policy, which is incorporated by reference into these Terms. By using Orbis, you consent to the collection and use of your data as described in the Privacy Policy. Key points include:
- Data Collection: We collect certain personal information during account registration (such as name, email, and billing information) and may collect usage data when you interact with Orbis. We also store the queries you enter into Orbis and the AI-generated responses, as part of your user history. This data helps provide you with your session history and improve our services.
- Use of User Data: Orbis uses your input data (queries and any content you upload) and the corresponding AI-generated outputs for the purpose of providing the service to you and improving the Platform's functionality. For example, we may analyze common query patterns or follow-ups to enhance the AI model's performance or to develop new features. Any use of your data for improvement is done in accordance with our Privacy Policy and with appropriate confidentiality and security measures. We do not use any personally identifiable information from your prompts for marketing purposes without your consent, nor do we sell your query data or outputs to third parties.
- Data Sharing: We do not share your personal data or your query content with third parties except in limited circumstances. Those circumstances may include: when it's necessary to provide the Orbis service (e.g., using third-party infrastructure or analytics service providers who are bound by confidentiality and security obligations), if required by law (such as a lawful subpoena or court order), or in the case of a merger or acquisition as described in the Privacy Policy. We never share user-provided research questions or prompts with other users or make them public.
- Data Security: We implement commercially reasonable security measures to protect your data from unauthorized access or disclosure, including encryption in transit, access controls, and regular security audits. However, no system is perfectly secure; therefore, we cannot guarantee absolute security of your data. You acknowledge that you provide information at your own risk.
- User Choices: You may have certain rights under data protection laws (depending on your jurisdiction), such as the right to access, correct, or delete personal information we hold about you. Our Privacy Policy outlines how you can exercise those rights. For example, you may request deletion of your account and associated personal data, and we will comply as required by law, though some data (like usage logs without personal identifiers) may be retained for legal, security, or operational purposes.
- Confidentiality of User Queries: We understand that your queries to Orbis might contain sensitive or proprietary topics (e.g. about potential investment strategies or internal research questions). We treat all user queries as confidential information. We will not use or disclose the content of your specific queries to anyone outside of Agentic Assets except as needed to operate the service or as required by law. Internally, access to user query data is restricted to personnel who need it to improve or maintain the Platform.
By using Orbis, you acknowledge our Privacy Policy and consent to our data practices. If you do not agree with how we handle your data, please do not use the Platform.
7. Disclaimers – No Professional Advice, AI Limitations, and No Warranties
Use for Informational Purposes Only
Orbis is an AI-assisted research tool designed to help synthesize information from academic studies in economics, finance, real estate, and related fields. The content and answers provided by Orbis (including any economic analyses, financial market insights, or investment-related information) are for informational and educational purposes only. Nothing provided by Orbis constitutes professional advice, including but not limited to financial, investment, legal, or tax advice, nor does it constitute any recommendation or endorsement of any investment, strategy, or course of action. You should not rely on Orbis as the sole basis for making any decisions, particularly decisions of a financial or investment nature. Always use your own judgment and, where appropriate, consult with a qualified professional before taking any action based on information from Orbis.
AI and Data Limitations
You acknowledge that Orbis uses artificial intelligence and a database of third-party academic sources to generate responses. While we strive for accuracy and evidence-based answers, the Platform or its AI may occasionally produce incorrect, outdated, or incomplete information. The academic articles Orbis draws from may themselves contain differing hypotheses or conclusions, and Orbis might not capture every nuance. We do not guarantee that the results obtained through Orbis will be comprehensive, error-free, or suited to every purpose. Use of Orbis's information is at your own risk – you are solely responsible for verifying the accuracy and relevance of any answers or Content you obtain from the Platform. If you spot an error or suspect that the AI's output is incorrect, we encourage you to cross-reference with the cited sources or other resources. You agree that we are not liable for any errors or omissions in the content provided by the Platform.
No Warranty of Results
Agentic Assets makes no guarantee that using Orbis will yield specific results or outcomes for your research or business. For example, we do not guarantee that using Orbis will improve your investment returns, make your research reports accurate, or identify all relevant academic findings for your query. The Platform is a tool to assist you, but you remain responsible for how you interpret and use its outputs.
"As Is" and "As Available"
Orbis is provided to you on an "as is" and "as available" basis, without warranties of any kind (either express, implied or statutory) from us or our partners. Specifically, to the maximum extent allowed by law, we disclaim any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranty that might arise from course of dealing or usage of trade. We do not warrant that:
- the Platform will meet your requirements or expectations;
- access will be uninterrupted, timely, secure, or error-free;
- the information obtained will be accurate or reliable;
- any defects or errors will be corrected.
While we aim to maintain a high availability and quality of service, downtime and errors are possible (for example, for maintenance or due to technical issues beyond our control). Any material or data you obtain through Orbis is done at your own discretion and risk. You will be solely responsible for any damage or loss that results from use of any content or service obtained through the Platform.
No Endorsement
If Orbis provides information about or links to third-party publications, authors, or other entities, it does not constitute an endorsement or verification of those third parties or their content. Likewise, any opinions or analyses given by Orbis (which originate from interpreting academic research) do not necessarily reflect the views of Agentic Assets or any academic institution. They are generated content intended to assist your own analysis.
Jurisdictional Considerations
Some jurisdictions do not allow the exclusion of certain warranties or conditions. To the extent such law applies to you, some of the above exclusions may not apply. In such case, the exclusions and limitations shall apply to the greatest extent permitted by applicable law.
8. Limitation of Liability
To the fullest extent permitted by law, in no event will Agentic Assets, LLC, its affiliates, or their respective directors, officers, employees, agents, partners, or licensors be liable to you or any third party for any indirect, incidental, special, consequential, or punitive damages whatsoever arising from or connected to your use of (or inability to use) the Orbis Platform, or reliance on any information obtained through Orbis. This includes, without limitation, any damages for lost profits, lost opportunities, loss of data, loss of goodwill, business interruption, or other intangible losses, even if we have been advised of the possibility of such damages.
In addition, Agentic Assets will not be liable for any damages or losses of any kind resulting from any use of Orbis that is in violation of these Terms, or from malware, viruses, or the like that may be transmitted to or through our Platform by any third party.
Cap on Liability
To the extent that any liability is not legally excludable, the total cumulative liability of Agentic Assets and its affiliates to you for any claims arising out of or related to these Terms or your use of the Platform shall not exceed the total amount of fees you paid to us for your use of Orbis in the twelve (12) months immediately preceding the event giving rise to the liability. If you have not paid any fees (for example, if you are using a free trial or free version), our liability to you shall not exceed $100 (USD). This limitation applies regardless of the cause of action (whether in contract, tort, negligence, strict liability, or any other legal theory).
User's Responsibility
You acknowledge and agree that you assume full responsibility for your use of the Platform. You use the information and resources provided by Orbis at your own discretion and risk. It is your responsibility to ensure that your use of Orbis complies with any legal or compliance obligations you may have (for instance, if you are in a regulated industry or working with sensitive data). We will not be liable for your failure to comply with laws or regulations applicable to you.
Some jurisdictions do not allow certain limitations of liability. If you are in such a jurisdiction, some of the limitations above may not apply to you. In those cases, our liability will be limited to the fullest extent permitted by applicable law.
9. Indemnification
You agree to indemnify, defend, and hold harmless Agentic Assets, its parent company, affiliates, and their respective officers, directors, employees, agents, and representatives (the "Indemnified Parties") from and against any and all claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees and costs) that arise out of or relate to: (a) your use of the Orbis Platform (including any information you obtain from it), (b) any User Content or data you submit, post, or transmit through the Platform, (c) your violation of these Terms, or (d) your violation of any law or regulation or the rights of any third party in connection with your use of Orbis.
This means you will reimburse the Indemnified Parties for any losses or costs (including legal fees) they incur due to claims arising from your use or misuse of Orbis or your breach of these Terms. We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (at your expense), and you agree to cooperate with our defense of such claim. You agree not to settle any such matter without our prior written consent. We will make reasonable efforts to notify you of any claim, action, or proceeding subject to this indemnification upon becoming aware of it.
10. Termination and Suspension of Accounts
By You (User Termination)
You have the right to stop using Orbis at any time. You may delete your account or cancel your subscription through the account settings or by contacting us. Termination of your subscription will be effective at the end of your current billing period unless otherwise agreed. Upon terminating your account, your right to access the Platform and any data or content provided through it will cease at the end of the subscription term. Keep in mind that merely uninstalling an app or ceasing to log in will not automatically cancel your subscription obligations – you must actively cancel following the provided procedure.
By Us (Suspension or Termination)
We reserve the right to suspend or terminate your account or access to Orbis, in whole or in part, at our sole discretion, for any legitimate reason, including, without limitation:
- Violation of these Terms or any other policy or guideline of Orbis.
- Use of the Platform in a manner that may cause harm, loss, or legal liability to other users, third parties, or us (for example, engaging in prohibited activities as outlined in Section 4).
- Suspected unauthorized use of your account, or if we reasonably suspect that any registration information you provided is untrue or inaccurate.
- Non-payment of subscription fees or chargeback of fees. If your payment for the subscription is overdue and you fail to cure such non-payment after notice, we may suspend your account for non-payment.
- If required by law enforcement or other government agencies, or as a result of a legal process.
- If we decide to discontinue the Platform entirely (in which case we will provide you with notice as described below).
In most cases, we will attempt to provide you with notice of any intended termination or suspension, but we reserve the right to act immediately and without notice for serious violations (for example, if your use poses security risks or legal liabilities). We are not liable to you or any third party for any termination or suspension of your account in accordance with these Terms.
Effect of Termination
Upon any termination of your account, whether by you or us:
- Your right to use the Platform will immediately cease (or at the end of the paid period if you cancelled). You must stop all use of Orbis and refrain from accessing it.
- We may disable or delete your account and deny any further access to your account information, Content, or the Platform. We reserve the right (but do not have the obligation) to delete your User Content and data stored on our servers associated with your account after termination. However, we might retain certain data as required for legal compliance or internal business purposes (in accordance with our Privacy Policy).
- If we terminate your account due to a violation of these Terms or illegal conduct, you will not be entitled to any refunds of prepaid fees. If we terminate for convenience (not due to your breach), we may provide a pro-rata refund of any prepaid fees for the remaining unused portion of your subscription.
Sections of these Terms which by their nature should survive termination (such as intellectual property provisions, disclaimers, limitations of liability, indemnity, and dispute resolution) will continue to remain in effect.
Platform Discontinuation
We reserve the right to discontinue or alter the Platform (in whole or in part) at any time. If we discontinue Orbis entirely, we will provide active subscribers with reasonable advance notice when possible, and, if appropriate, a pro-rata refund for any remaining subscription period.
11. Governing Law and Dispute Resolution
Governing Law
These Terms and any dispute arising out of or relating to these Terms or your use of Orbis will be governed by and construed in accordance with the laws of the State of Wyoming, USA, without regard to its conflict of law principles. If you access or use Orbis from outside the United States, you do so on your own initiative and are responsible for compliance with any applicable local laws.
Initial Resolution Efforts
We value our relationship with users and aim to address concerns without formal legal action. Before initiating any legal claim, please contact us at admin@agenticassets.ai to discuss the issue, and we will attempt in good faith to resolve the dispute through informal negotiation.
Arbitration Agreement
Any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Platform that cannot be resolved amicably shall be settled by binding arbitration on an individual basis. By agreeing to these Terms, you and Agentic Assets each waive the right to a trial by jury or to participate in a class action.
The arbitration will be administered by a neutral arbitrator mutually agreed upon by the parties (or, if we cannot agree, through the American Arbitration Association, "AAA") and conducted in English.
- Location: The arbitration shall take place in Wyoming, USA, or at another mutually agreed location.
- Arbitration Rules: If AAA administers, it will do so under its Commercial Arbitration Rules and its Supplementary Procedures for Consumer-Related Disputes (if applicable).
- Arbitrator's Authority: The arbitrator has exclusive authority to resolve any dispute relating to the interpretation, applicability, or enforceability of this arbitration agreement (including the enforceability of the class action waiver described below). The arbitrator may award any relief that a court of competent jurisdiction could award, including individual injunctive relief, and the arbitral decision may be entered as a judgment in any court of competent jurisdiction.
Class Action Waiver
You and Agentic Assets agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding. The arbitrator shall not consolidate the claims of multiple parties without the consent of all parties, and shall not otherwise preside over any form of a representative or class proceeding. If this class action waiver is found to be unenforceable, then the entirety of the arbitration agreement above shall be null and void (but the rest of the Governing Law and Dispute Resolution section will remain in effect).
Exceptions
Notwithstanding the foregoing arbitration clause, either party may choose to pursue a claim in court and not by arbitration for:
- claims that are eligible to be brought in small claims court in the county of your billing address (or in Albany County, Wyoming, if the claim is by us); or
- claims for injunctive or equitable relief regarding intellectual property (for example, any alleged misuse of intellectual property, confidentiality, or data security issues).
In such cases, the dispute may be brought in the state or federal courts located in the State of Wyoming, and both you and Agentic Assets agree to submit to the personal jurisdiction of those courts for such purposes.
Opt-out
You have the right to opt out of the binding arbitration and class action waiver provisions by sending written notice of your decision to opt out to us at admin@agenticassets.ai within 30 days of first accepting these Terms. Your notice must include your name, address, the email associated with your Orbis account, and an unequivocal statement that you opt out of arbitration. If you opt out of arbitration, you and we agree to submit to the exclusive jurisdiction of the state or federal courts located in the State of Wyoming to resolve any disputes, and you waive any objection to venue or inconvenient forum.
Legal Fees
In any arbitration or court action between you and us, the prevailing party will be entitled to recover its reasonable attorneys' fees and costs from the other party, in addition to any other relief that may be awarded.
12. Modifications to Terms
We may revise or update these Terms from time to time as our business, technology, or legal requirements evolve. We reserve the right to modify these Terms at our sole discretion at any time. If we make material changes, we will provide you with reasonable notice, such as by sending an email to the address associated with your account or by posting a prominent notice on the Platform. The notice will designate when the changes will become effective.
Your Responsibility to Review
It is your responsibility to review any updated Terms. By continuing to use Orbis after updated Terms take effect, you agree to be bound by the revised Terms. If you do not agree with any changes, you must stop using the Platform and, if applicable, cancel your subscription.
For users with paid subscriptions, if a change to the Terms materially adversely affects your rights and you do not agree to the change, you may notify us within 30 days of the change notice to discuss the concern, and we will (at our option) either:
- permit you to terminate your subscription early with a pro-rata refund for the unused portion, or
- allow you to continue under the previous Terms until the end of your current subscription term before the new Terms apply (in cases where legal requirements do not mandate immediate changes).
For clarity, minor updates or changes that do not materially affect your rights (such as clarifications or improvements to the wording, or changes due to new features that don't impose new obligations on you) may be made effective immediately with or without notice, as allowed by law.
13. Miscellaneous Provisions
Entire Agreement
These Terms (along with any documents incorporated by reference, such as the Privacy Policy and any additional service-specific terms) constitute the entire agreement between you and Agentic Assets regarding your use of Orbis, and supersede all prior and contemporaneous understandings, agreements, representations, or warranties, both written and oral, regarding the Platform.
Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by an arbitrator or court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible, and the remaining provisions of these Terms will remain in full force and effect. The invalid provision will be deemed modified so that it is valid and enforceable to the maximum extent permitted, reflecting the intent of the original provision as closely as possible.
No Waiver
Our failure to enforce any right or provision of these Terms shall not operate as a waiver of that right or provision or of any other provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Agentic Assets.
Assignment
You may not assign or transfer these Terms (or any rights or obligations in these Terms) without our prior written consent. Any attempted assignment by you in violation of this section is void. We may freely assign or transfer these Terms (for example, in the event of a merger, acquisition, sale of assets, or by operation of law) without notice to you. These Terms will bind and inure to the benefit of the parties and their respective successors and permitted assigns.
Relationship of the Parties
You and Agentic Assets are independent contracting parties. These Terms do not create a partnership, franchise, joint venture, agency, fiduciary, or employment relationship between the parties. You must not represent in any way that you are an agent or representative of Agentic Assets or that you have any authority to bind us.
Force Majeure
We will not be liable for any delay or failure in performance of any part of the Platform to the extent that such delay or failure is caused by events beyond our reasonable control, including but not limited to acts of God, natural disasters, power or Internet outages, war or terrorism, civil disturbances, pandemic, strikes, or governmental actions.
Notices
We may send you information or notices about the Platform (including changes to these Terms) electronically, for example via email (to the address you provided) or through notifications within the Platform. Electronic notices satisfy any legal communication requirements.

Headings and Interpretation
Section headings in these Terms are for convenience only and have no legal or contractual effect. In these Terms, the word "including" is illustrative and means "including without limitation."
Export Compliance
The Orbis Platform and related software may be subject to export laws and regulations. You agree to comply with all relevant U.S. and international export laws. You represent that you are not located in, under control of, or a national or resident of any embargoed or restricted country or person (as designated by U.S. law).
Users from Outside the U.S.
Orbis is controlled and operated from the United States. We make no representations that the Platform is appropriate or available for use in other locations. If you access Orbis from other jurisdictions, you do so at your own choice and are responsible for compliance with local laws. Please note that your data, including personal information, will be processed and stored in the U.S. as described in our Privacy Policy.
Government Use
If you are a U.S. government end user, the Platform and documentation are deemed "Commercial Items" as defined at 48 C.F.R. §2.101, and provided with only those rights as are provided to all other end users pursuant to these Terms.
